User Service Agreement & Liability Acknowledgment
Required before using YLAÜXI. Version 2026-10.
Purpose
This User Service Agreement (“Agreement”) is between you (“Operator”) and YLAÜXI (“YLAÜXI”). By signing electronically in setup or before first use, you acknowledge the terms below in addition to the Terms of Service, DPA, and AI Disclosure.
We provide software — not professional advice
YLAÜXI is a software platform and infrastructure service. We do not provide legal, tax, accounting, medical, compliance, or investment advice. Agents, CONCIERGE, CANVAS, MUSE, SIGNAL, and chatbots produce automated drafts only. You are solely responsible for review, approval, and publication of any output.
Assumption of risk
You assume all risk for decisions made using the Service, including reliance on AI-generated content, projections, monitoring alerts, and automations. You are the publisher of record for communications sent to your customers, regulators, or the public.
Disputes with your own customers
YLAÜXI is disintermediated by design — payments you accept through the Service run through your own connected Stripe account, not a YLAÜXI-operated marketplace. Chargebacks and disputes a customer files with their bank are between you and that customer; YLAÜXI does not arbitrate them and is not a party to the transaction. Stripe's own dispute-evidence tooling is surfaced inside your dashboard's Finance section, and a drafted response template is available through the Contract Drafting Agent, but the response and its outcome are yours.
Limitation of liability & release
To the fullest extent permitted by applicable law, you agree that YLAÜXI’s total liability for any claim arising from the Service is limited to fees you paid in the twelve (12) months before the claim, as set out in the Terms. YLAÜXI is not liable for indirect, incidental, special, consequential, or punitive damages, or lost profits.
You release YLAÜXI from claims arising from your use of the Service, your content, your campaigns, MUSE uploads, and chatbot interactions with your end users — except where release is prohibited by law (including gross negligence, fraud, or non-waivable consumer rights in your jurisdiction).
Indemnification
You will defend and indemnify YLAÜXI against third-party claims caused by your content, your violation of law, or your breach of this Agreement or the Terms.
AI & MUSE
You acknowledge the AI Disclosure and, if applicable, MUSE Terms. Unauthorized use of MUSE roster assets outside your license may result in suspension and legal remedies.
Disputes
This Agreement is governed by Delaware law, consistent with the Terms. Nothing here prevents either party from seeking injunctive relief for misuse of intellectual property.
Electronic signature
Typing your full legal name and confirming your email in the product constitutes your electronic signature. We store acceptance with timestamp, agreement version, and request metadata for audit purposes.
