Terms of Service

Agreement

These terms govern access to YLAÜXI software, the agent catalog, managed hosting where included, and related services. By subscribing, applying for Prestige, or executing an Enterprise license, you agree to these terms, the Data Processing Agreement, and any order form or statement of work that references them.

Subscription tiers

Solo, Duo, Elevate, Command, Sovereign, and Prestige are monthly subscriptions. Usage thresholds, agent caps, and module access are defined on the tiers page. There is no overage billing: when an allowance runs out you may buy a top-up or an add-on, or wait for the next period. An upgrade takes effect right away and the difference for the current period is charged. A downgrade takes effect at your next renewal; until then your current plan stays in place. Platform fee on your sales

Payments your customers make through the Service (storefront, booking, memberships, paid content, event tickets and documents) are processed by Stripe into your own connected Stripe account. YLAÜXI charges a platform fee on each of these payments, deducted by Stripe at the time of the charge: 2% on Solo and Duo, 1% on Elevate, 0.5% on Command, and none on Sovereign and Prestige, calculated on the amount before tax. Stripe's own processing fees are separate and set by Stripe. When you refund a payment, the platform fee on the refunded amount is returned to you. YLAÜXI will give at least 30 days' notice before changing these rates.

Work booked through the Cross-Category Marketplace (included from Command) carries its own fee, paid by the member who provides the work and deducted the same way when the client pays by card through the platform: 5% for Professionals, and 10% for Talent and Builders. Founders don't pay it. Payments you record as received outside the platform carry no fee.

Enterprise license

Enterprise is a perpetual software license with a defined support and update window, scoped by business audit. Pricing, SLA commitments, and infrastructure responsibilities are specified in your Enterprise agreement. Source code handoff terms are documented at execution.

Acceptable use

You are responsible for content, campaigns, and automations running in your account. Detailed rules are in the Acceptable Use Policy. We may suspend access for material breach after notice where practicable.

AI agents, CONCIERGE & credits

Generative and monitoring agents consume credits and infrastructure resources as described on the tiers and add-ons pages. Outputs are produced from your configured brand context. You are responsible for reviewing all AI output before customer-facing, regulatory, or legal use. Read the full AI Disclosure.

If you deploy chatbots or automations to your end customers, you must disclose that they may interact with AI and maintain a privacy notice covering those interactions.

MUSE & CANVAS

MUSE virtual model roster and CANVAS generation are governed by the MUSE Terms and AI Disclosure. You warrant rights for custom talent uploads and comply with synthetic-media labeling obligations. Unauthorized use of MUSE roster assets outside your license may result in suspension and legal action — see MUSE Terms.

Intellectual property

YLAÜXI retains all rights in the software, agent catalog, MUSE roster assets, and documentation. You retain ownership of data and content you upload. Subject to your compliance with these terms, you may use AI outputs in your business operations. YLAÜXI may use aggregated, de-identified usage metrics to improve the Service.

Customer content & DMCA

You represent that you have rights to content you upload or generate for publication. Report copyright concerns to hello@ylauxi.com with sufficient detail for us to evaluate a takedown request.

Indemnification

You will defend and indemnify YLAÜXI against claims arising from your content, campaigns, MUSE uploads, chatbot replies to your customers, or violation of law — except to the extent caused by YLAÜXI's gross negligence or willful misconduct.

Disclaimer of warranties

The Service is provided "as is" and "as available." YLAÜXI disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. AI outputs may be inaccurate; monitoring agents may miss events.

Limitation of liability

To the maximum extent permitted by law, YLAÜXI's aggregate liability arising from the Service is limited to fees you paid in the twelve months before the claim. YLAÜXI is not liable for indirect, incidental, special, consequential, or punitive damages, or lost profits.

Governing law

These terms are governed by the laws of the State of Delaware, United States, excluding conflict-of-law rules. Courts in Delaware have exclusive jurisdiction unless otherwise specified in an Enterprise agreement.

Availability

Your account is ready as soon as you sign up. Prestige includes the Service Level Agreement. Enterprise SLA commitments are specified in your agreement.

Termination

You may cancel subscription tiers per billing settings. Export your data before cancellation. Enterprise termination and transition terms are defined in your license agreement.
